Terms & Conditions
A. Definitions
- ‘Seller’ means Tallis Amos Group Ltd (Company Number 04697211) of Hinton-on-the-Green, Evesham, Worcestershire WR11 2QT.
- ‘Buyer’ means the person, company or firm listed in the order.
- ‘Goods’ means all items listed in the order.
- ‘Price’ means total cost of Goods ordered plus any delivery charge, exclusive of VAT.
- ‘VAT’ means value added tax due on the Price.
- ‘Place of Delivery’ means Seller’s address unless alternative location specified with appropriate charge.
- ‘Delivery Date’ means date specified in order.
- ‘Second Hand Goods’ means items specified as such, not sold as new.
- ‘Force Majeure’ includes fire, explosion, flood, lightning, Act of God, act of terrorism, war, rebellion, riot, sabotage, or official strike.
B. Application of Terms and Conditions
- These provisions apply to all contracts between Seller and Buyer, excluding Buyer’s terms.
- Future orders deemed offers under these terms unless Seller amends or notifies otherwise in writing.
- Variations only valid if made in writing by Seller.
- Only specifications expressly set out in Quotation form part of contract.
- If Seller lacks physical possession at purchase time, availability depends on manufacturer/supplier. If goods unavailable after Seller’s order attempt, Seller refunds paid amounts and neither party has further obligations.
- Contract governed by England and Wales law.
C. Delivery and Risk
- Delivery occurs at Place of Delivery.
- Delivery means Seller giving Buyer possession of Goods.
- Buyer must arrange to take possession on Delivery Date. If not arranged, Seller may leave Goods at Place of Delivery during 9:00 a.m. to 5:00 p.m.
- Any time or date for delivery given by the Seller is given in good faith, but is an estimate only. Delivery timing not essential; late delivery doesn’t justify termination or rejection.
- Risk passes to Buyer upon delivery.
- Title doesn’t pass until Price is paid, though Seller may sue for payment once due.
D. Payment
- Buyer must pay Price with VAT on or before Delivery Date.
- Payment accepted by cash, cheque, or electronic Bank Transfer. Cheque payments due 5 days before Delivery Date.
- Payment timing is essential.
- Failure to pay results in interest at 5% above the base rate charged at the time of default by Barclays Bank plc.
E. Acceptance of Goods
- Buyer deemed to have accepted Goods if failing to notify Seller in writing of non-acceptance within 7 days of delivery.
F. Exclusion and Limitation
- Unless Buyer is a consumer under Section 12 of Unfair Contract Terms Act 1977, all warranties regarding description, fitness, or quality are excluded.
- Seller has no liability for special, indirect, or consequential loss including loss of profits, business contracts, revenues and anticipated savings.
- Seller’s liability limited to damages not exceeding the Price.
G. Rejection of Goods Not Conforming to Contract
- Buyer must notify Seller in writing within 7 days of delivery to reject non-conforming goods.
- Rejected goods must be returned to Seller’s address during 9:00 a.m. to 5:00 p.m. business hours; Buyer pays carriage costs.
- Rejection outside these procedures is ineffective; Seller not obligated to retake possession.
H. Second-Hand Goods
- Second-hand goods sold in the condition in which they are offered for sale including all apparent defects. Buyer responsible for inspection and satisfactory quality assessment.
- Where Goods used at work, Seller requires Buyer ensure the Goods will be safe and without risks to health when properly used.
- Seller gives no warranties regarding quality or suitability. Maximum liability exclusions apply except Seller doesn’t exclude liability for death or personal injury caused to the Buyer by reason of the Seller’s negligence.
I. Force Majeure
- Seller not liable for failures due to Force Majeure. Following notification, Seller allowed reasonable extension for performance.
J. Guarantee
- For new Goods from third parties, Seller passes on third-party warranties where possible and supplies warranty details and product information on request. Buyer solely responsible for compliance.
- Where third-party warranty available, Seller’s liability excludes all other liability to the Purchaser whether contractual, tortious or otherwise and excludes all other conditions, warranties, stipulations or other statements whatsoever concerning the goods.
K. Data Protection
- Seller passes customer information to John Deere. Buyer agrees: “I agree to the processing of my personal data by the Dealer, by John Deere and our respective service providers for the purpose of marketing products and services of any kind offered by John Deere from time to time, I understand that this may include the transfer to and processing of my data for such purpose by John Deere companies located outside the EEA.”
L. Unfair Contract Terms Act 1977
- Terms don’t exclude Seller’s liability for warranties of title and quiet possession under Sale of Goods Act 1979 or Supply of Goods and Services Act 1982.
- Where Buyer is a natural person, nothing excludes liability for death or personal injury caused by reason of the negligence of the Seller or of its servants, employees or agents.
- Fraud or fraudulent misrepresentation liability cannot be excluded.
M. John Deere Dealer’s Warranty
For new John Deere goods, Dealer warrants: If any defect is discovered in new goods, within 12 months in the case of complete machines, and 6 months in the case of parts, in each case from the date of delivery to the original customer, and is due solely to defective material or workmanship used in the course of their manufacture, the goods having been maintained and used as outlined in the Operator’s Manual, then the Dealer will, at its option, either repair or replace the defective part or parts on the new goods concerned free of charge.
Engines receive extended coverage: 24 months or 1,500 hours, whichever occurs first.
“Engine” definition includes specific components but excludes fuel equipment, flywheel ring gear, electrical equipment, flywheel, turbocharger, spigot bearing, exhaust pipe, fan, exhaust manifold, fan belts, radiator, front pulley/dampener, water pump, thermostats, coolant conditioner, starting aids, oil cooler, air cleaner and air conditioning equipment.
Warranty transferable within European Economic Area, honoured by authorised dealers. This warranty in no way restricts or affects the customer’s statutory rights.
N. Net Zero Policy
Tallis Amos Group aims for net zero carbon emissions by 2030 through:
1. Energy Efficiency
Upgrade heating, lighting systems, invest in high-efficiency equipment, adopt structured energy management.
2. Transport and Logistics
Optimise logistics and route planning; integrate electric or hybrid vehicles into fleet.
3. Employee Engagement and Training
Raise sustainability awareness; provide training on carbon reduction initiatives.
4. Renewable Energy
Transition to renewable sources including solar; engage with certified green energy suppliers.
5. Sustainable Practices
Improve waste management, increase recycling rates, implement sustainable procurement policies.
